(2) | Consists of 3,621 shares that are vested and fully exercisable, 35,000 shares granted on March 30, 2007 that vest in annual increments of 25% over four years and an award of 53,298 shraes on March 20, 2008 of which half of are time-based and half are performance-based. The time-based portion vests in 16 equal quarterly installments. The performance-based portion vests in increments of one-third beginning on the first anniversary of the grant date if the Company achieves revenue and EBITDA levels established by the Board. The Company will either meet or not meet both goals in a given year. With respect to all shares of performance-based restricted stock that do not vest during any of the three years, 50% of such shares will vest on the fourth anniversary of the date of the grant. The vesting of any restricted stock (including both time-based and performance-based) is subject to the executive being an employee in good standing on the date of vesting. |
