Item 8.01.

Other Events.

On April 11, 2019, Anadarko Petroleum Corporation (“Anadarko”) entered into an agreement and plan of merger (the “Merger Agreement”) by and among Anadarko, Chevron Corporation (“Chevron”), Justify Merger Sub 1 Inc., a wholly owned subsidiary of Chevron, and Justify Merger Sub 2 Inc., a wholly owned subsidiary of Chevron. Chevron issued a press release and an investor presentation, each dated April 12, 2019, relating to entry into the Merger Agreement and related matters. A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference. A copy of the investor presentation is attached as Exhibit 99.2 hereto and is incorporated herein by reference.

Also on April 12, 2019, Anadarko’s Chairman and Chief Executive Officer sent an email regarding the transaction with Chevron to Anadarko employees. A copy of this email is attached as Exhibit 99.3 hereto and is incorporated herein by reference.
