In connection with the announcement that Esterline Technologies Corporation, a Delaware corporation (the “Company”), entered into an Agreement and Plan of Merger (the “Merger Agreement”) with TransDigm Group Incorporated, a Delaware corporation (“Parent”), and Thunderbird Merger Sub Inc., a Delaware corporation and wholly owned subsidiary of Parent (“Merger Sub”), on October 18, 2018, the Company distributed the following materials to certain of its employees, the full text of which is attached hereto as Exhibits 99.1—99.3 and incorporated herein by reference:
