Item 1.01 Entry into a Material Definitive Agreement.

On April 4, 2018, MGM Growth Properties Operating Partnership LP (the “Operating Partnership”), a subsidiary of MGM Growth Properties LLC (the “Company”), along with MGP OH, Inc., a Delaware corporation and a subsidiary of the Operating Partnership (“MGP OH”), entered into a Membership Interest Purchase Agreement (the “Agreement”) with Milstein Entertainment LLC, an Ohio limited liability company, and Brock Milstein, which provides for, among other things, the purchase by MGP OH of all of the membership interests of Northfield Park Associates, LLC, an Ohio limited liability company that owns the real estate assets and operations of the Hard Rock Rocksino Northfield Park for total consideration of $1,062,500,000 on a debt free, cash free basis, subject to a post-closing working capital adjustment. The Agreement contains customary representations, warranties, covenants and indemnities by the parties to such agreement and is subject to customary closing conditions, including the receipt of applicable gaming approvals. In addition, the Agreement contains certain termination rights, including by either party in the event the customary closing conditions are not fulfilled within six months of signing the Agreement, subject to two 90-day extensions.

The foregoing description of the Agreement does not purport to be complete and is qualified in its entirety by reference to the Agreement, a copy of which is filed herewith as Exhibit 2.1 and incorporated herein by reference.

The representations, warranties and covenants contained in the Agreement were made only for purposes of the Agreement and as of the specific date (or dates) set forth therein, were solely for the benefit of the parties to the Agreement and are subject to certain limitations as agreed upon by the contracting parties. In addition, the representations, warranties and covenants contained in the Agreement may be subject to standards of materiality applicable to the contracting parties that differ from those applicable to investors. Investors are not third-party beneficiaries of the Agreement and should not rely on the representations, warranties and covenants contained therein, or any descriptions thereof, as characterizations of the actual state of facts or conditions of the Operating Partnership. Moreover, information concerning the subject matter of the representations and warranties may change after the date of the Agreement, which subsequent developments may not be reflected in the Operating Partnership or Company public disclosure.
