Explanatory Note

This Amendment No. 2 to the Registration Statement on Form F-3 (File No. 333-206495) of Teekay Tankers Ltd. is being filed solely to refile Exhibit 23.1. This Amendment No. 2 does not modify any provision of the prospectus contained in Part I of the registration statement. Accordingly, this Amendment No. 2 does not include a copy of the prospectus.
