On September 2, 2013, Verizon Communications Inc. entered into a stock purchase agreement with Vodafone Group Plc in order to acquire Vodafones indirect 45% ownership stake in Verizon Wireless for aggregate consideration of approximately $130 billion, consisting primarily of cash and stock. The transaction is structured as the acquisition by Verizon of 100% of the stock of Vodafones U.S. holding entity that indirectly holds Vodafones 45% interest in Verizon Wireless.
The enclosed prospectus is being distributed to Vodafone shareholders along with the information circular that Vodafone is providing to you separately in connection with its shareholder meetings to approve the transaction. The prospectus relates to the shares of Verizon common stock to be issued as stock consideration in the transaction. As described in the prospectus, such shares will be issued to the ordinary shareholders of Vodafone, who will receive their pro rata portion of the stock consideration, with cash in lieu of any fractional Verizon shares.
