Item 7.01 Regulation FD Disclosure
As part of the ongoing restructuring of Eastman Kodak Company (Kodak or the Company), the Company is making available a presentation at http://investor.kodak.com/common/download/download.cfm?companyid=EK&fileid=629530&filekey=0900bf69-1a2e-4a6d-a8bd-e0617826d758&filename=Kodak_January22_2013_8KFiling.pdf (the Presentation) simultaneously with providing the Presentation to certain of its creditors and their advisors. The Presentation was prepared to facilitate discussions among the Company and certain of its creditor parties and not for use by other holders or prospective holders of the Companys securities. The Presentation is deemed furnished pursuant to this Form 8-K and not filed. No other information on the Companys website is being furnished or filed pursuant to this Form 8-K.
The Presentation includes financial and other projections that are subject to numerous assumptions, risks and limitations. These projections were prepared using information available at the time they were prepared. In addition, the projections contained in the Presentation reflect numerous estimates and assumptions made by management of the Company with respect to its financial condition, the performance of its business and conditions within its industry, general economic, market and financial conditions and numerous other matters. In addition, the projections contained in the Presentation will be further impacted by restructuring activities related to certain obligations including but not limited to domestic and foreign pension obligations, other postretirement obligations (OPEB), pre-petition obligations and borrowings. In addition, the projections in the Presentation do not reflect the cash costs of the pension and OPEB obligations.
