Item 5.05 Amendments to the Registrants Code of Ethics, or Waiver of a Provision of the Code of Ethics.
(a) Erie Indemnity Company (the Company) adopted a new Code of Conduct applicable to all directors, officers and employees of the Company. The new Code of Conduct replaces the Companys existing Code of Conduct that was adopted on December 9, 2003. The Company also adopted a new Code of Ethics for Senior Financial Officers (the Code of Ethics). The effective date for the new Code of Conduct and the Code of Ethics is April 25, 2012. Copies of the new Code of Conduct and the Code of Ethics are attached as Exhibits 14.1 and 14.2, respectively, and may be viewed on the Companys website at: http://www.erieinsurance.com.
