Item 1.01 Entry into a Material Definitive Agreement.
On August 23, 2011, Terreno Realty LLC, a wholly-owned subsidiary (the Borrower) of Terreno Realty Corporation (the Company), entered into a $10.1 million Senior Secured Term Loan Agreement (the Term Loan) with KeyBank National Association, as administrative agent (the Administrative Agent), and KeyBanc Capital Markets Inc., as lead arranger.
The Term Loan is secured by a pledge of the equity interests in two of the Borrowers wholly-owned subsidiaries (each, a Subsidiary) that each own one property. The Term Loan is guaranteed by the Company and each Subsidiary. The Term Loan will bear interest at varying rates, based upon, at the Borrowers option, either (i) LIBOR, plus the applicable LIBOR margin or (ii) the applicable base rate which is the greater of the Administrative Agents prime rate plus 1.00%, 0.50% above the federal funds effective rate, or thirty-day LIBOR plus the applicable LIBOR margin for LIBOR rate loans under the Term Loan. The applicable LIBOR margin is 3.50% as of the closing and shall reduce to 2.75% subject to the properties generating a 1.25x debt service coverage ratio. The Term Loan will require monthly interest payments through February 2013, the maturity date, which is subject to one six-month extension that may be exercised subject to the satisfaction of certain conditions. Proceeds from the Term Loan will be used by the Company to fund future acquisitions and for general business purposes.
