Item 5.07 Submission of Matters to a Vote of Security Holders.
MaxLinear, Inc. (MaxLinear) held its 2011 annual meeting of stockholders on May 6, 2011 (the Annual Meeting). Of the 15,918,684 shares of MaxLinears Class A common stock and 16,221,307 shares of MaxLinears Class B common stock outstanding as of March 21, 2011, 14,868,054 shares of Class A common stock and 12,346,226 shares of Class B common stock were represented at the Annual Meeting, either in person or by proxy, constituting, of the shares entitled to vote, 93.4% of the outstanding shares of Class A common stock, 76.11% of the outstanding shares of Class B common stock, and collectively 84.67% of the outstanding shares of Class A common stock and Class B common stock. The matters voted on at the Annual Meeting and the votes cast with respect to each such matter are set forth below.

Based on the approval of one year as the frequency of an advisory vote on the compensation of the MaxLinears named executive officers, the Companys board of directors has determined that it will hold an advisory vote on the compensation of MaxLinears named executive officers annually until the next required vote on the frequency of such an advisory vote.
