Item 2.02. Results of Operations and Financial Condition.

On March 9, 2011, SMTC Corporation issued a press release announcing its financial results for its fourth quarter ended January 2, 2011, a copy of which is attached as Exhibit 99.1 to this Current Report and incorporated herein by reference.

On March 9, 2011, SMTC Corporation held a teleconference announcing its financial results for its fourth quarter ended January 2, 2011. A transcript of this teleconference is attached as Exhibit 99.2 to this Current Report and incorporated herein by reference.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 22, 2011, the board of directors (the “Board”) of SMTC Corporation (the “Company”) elected Mr. Claude Germain as a member of the Board. He has not yet been appointed to serve on any committee of the Board, and attended the meeting of the Board on March 8, 2011. Mr. Germain is Managing Partner and Principal for Rouge River Capital Ltd., a merchant bank focused on midmarket industrial and supply chain businesses. The appointment of Mr. Germain as director was not pursuant to any agreement or understanding between Mr. Germain and any third party. At this time, the company is not aware of any transactions with Mr. Germain that would require disclosure under Item 404(a) of Regulation S-K.
