(b) On November 16, 2010, James P. Moniz gave notice that he intends to resign as the Chief Financial Officer and principal accounting officer of Nanometrics Incorporated (the “Company”) effective April 1, 2011. Mr. Moniz will continue to act as the Company’s Chief Financial Officer and principal accounting officer until such time.
