Upon exercise of a SAR, shares of the Corporations common stock are issued directly to the holder. The foregoing summary is qualified in its entirety by reference to the Corporations Stock Appreciation Rights Terms and Conditions attached hereto as Exhibit 10.1 and the Corporations Stock Appreciation Rights Award Agreement attached hereto as Exhibit 10.2 and incorporated herein by reference.
