Item 1.01 Entry into a Material Definitive Agreement

On July 27, 2007, OSI Systems, Inc. (the “Company”) entered into a certain Credit Agreement with Wachovia Bank, N.A., as administrative agent for several lending banks and other financial institutions (the “Credit Agreement”) and filed the Credit Agreement as Exhibit 10.1 to Current Report on Form 8-K, dated July 30, 2007, along with a brief description of the terms and conditions of the Credit Agreement that are material to the Company. At the request of the U.S. Securities and Exchange Commission (“SEC”), the Company is hereby re-filing the Credit Agreement (with portions omitted and submitted separately to the SEC pursuant to a request for confidential treatment), as Exhibit 10.1 to this Current Report on Form 8-K/A.
