(1) Shares of common stock of Convergys Corporation (the “Company”), without par value (the “Common Stock”), being registered hereby relate to a Salary Stock Unit Award Agreement and Restricted Stock Unit Award Agreement with, and the grant of stock options relating to shares of Common Stock to, an employee and director of the Company. Pursuant to Rule 416 promulgated under the Securities Act of 1933, as amended (the “Securities Act”), this registration statement also covers any additional securities that may be offered or issued in connection with any stock split, stock dividend or similar transaction.
(2) Pursuant to Rule 457(g) under the Securities Act, the registration fee is calculated on the basis of the average of the high and low prices reported in the consolidated reporting system as of March 9, 2010.

EXPLANATORY NOTE

This Registration Statement on Form S-8 covers the issuance by the Company of up to 409,000 shares of Common Stock to be issued pursuant a Salary Stock Unit Award Agreement and Restricted Stock Unit Award Agreement with, and the grant of stock options relating to shares of Common Stock to Jeffrey H. Fox.
