Item 8.01 Other Events
On December 22, 2009, the Company issued a press release announcing that it has entered into a Securities Purchase Agreement with Bruckmann, Rosser, Sherrill & Co. III, L.P. and BRS Coinvestor III, L.P. and that it has entered into the Second Amendment to the First Amended and Restated Credit Agreement and Limited Waiver with Wells Fargo Bank, National Association, as administrative agent and the lenders from time to time party thereto. A copy of the press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
