INTRODUCTION
This Amendment No. 5 (the Final Amendment) to Rule 13e-3 Transaction Statement on Schedule 13E-3 (this Schedule 13E-3) is being filed by: (i) Tarrant Apparel Group, Inc., a California corporation (the Company), the issuer of the common stock, no par value per share (the Common Stock), that is subject to the Rule 13e-3 transaction; (ii) Sunrise Acquisition Company, LLC, a California limited liability company (Parent); (iii) Sunrise Merger Company, a California corporation and a wholly owned subsidiary of Parent (Merger Sub); (iv) Gerard Guez, Interim Chief Executive Officer and Chairman of the board of directors of the Company (Guez); (v) Todd Kay, Vice Chairman of the board of directors of the Company (Kay); and (vi) Todd Kay and Kimberly Smith Kay Trustees Kay Living Trust (Kay Living Trust and together with Guez, Kay, the Company, Parent and Merger Sub, the Filing Parties and each a Filing Party).
This Final Amendment is being filed pursuant to Rule 13e-3(d)(3) to report the results of the transaction that is subject to this Schedule 13E-3.
Item 15. Additional Information.
Regulation M-A Item 1011
Item 15(b) is hereby amended and supplemented as follows:
On August 20, 2009, at a special meeting of shareholders, the Companys shareholders voted to approve the Agreement and Plan of Merger, dated as of February 26, 2009 and as amended on June 26, 2009 by and among the Company, Parent, Merger Sub, Guez and Kay.
On August 20, 2009, the Company filed an Agreement of Merger with the Secretary of State of the State of California, pursuant to which Merger Sub was merged with and into the Company, with the Company continuing as the surviving corporation (the Merger). As a result of the Merger, the Company became a wholly-owned subsidiary of Parent, which is privately owned by Guez, Kay and the Kay Living Trust. The Merger became effective after 1:00 p.m, Pacific Time, on Thursday, August 20, 2009, at which time (i) each outstanding share of the Company common stock issued and outstanding immediately prior to the effective time of the Merger (other than shares held in treasury, shares owned by the Companys subsidiaries, Parent and Merger Sub immediately prior to the effective time of the Merger (including shares contributed by Guez, Kay and the Kay Living Trust for equity interests in Parent) and shares held by shareholders who properly exercised dissenters rights under California law) was canceled and converted into the right to receive $0.85 in cash, and (ii) the separate corporate existence of Merger Sub ceased.
As a result of the Merger, the Company common stock will no longer be listed on any exchange, including the Nasdaq Global Market. The Company will file a Certification and Notice of Termination of Registration on Form 15 with the Securities and Exchange Commission (the SEC) in order to deregister its common stock under the Securities Exchange Act of 1934, as amended.
