Petrohawk Energy Corporation (“Petrohawk,” “we,” “us” or “our”) is filing this Registration Statement for the purpose of registering 5,300,000 additional shares of our common stock for issuance under the terms of the Petrohawk Energy Corporation Third Amended and Restated 2004 Employee Incentive Plan (the “2004 Incentive Plan”) and 500,000 additional shares of our common stock for issuance under the terms of the Petrohawk Energy Corporation Second Amended and Restated 2004 Non-Employee Director Incentive Plan (the “Non-Employee Director Plan” and, together with the 2004 Incentive Plan, the “Plans”).
