On August 5, 2009, American Water Works Company, Inc. (the “Company”) issued a press release announcing its financial results for the second quarter of 2009, ended June 30, 2009. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On July 31, 2009, in connection with its recent appointments of two new independent directors, Stephen P. Adik and Julie A. Dobson, the board of directors appointed Mr. Adik to the Audit Committee and Ms. Dobson to the Compensation Committee.
