The following sets forth a summary of the compensation for fiscal year 2009 approved on January 9, 2009 by the Compensation Committee of DURECT Corporation (the Company) for the Companys Chief Executive Officer, the Chief Financial Officer, and the other named executive officers of the Company for whom compensation disclosure was required in the Companys most recent proxy statement filed with the Securities and Exchange Commission.

Notes:
(1) | The option will be granted by the Compensation Committee at the same time as stock options will be granted to non-officer employees. The exercise price per share of such option grant will be the closing price of the Companys common stock on the NASDAQ Global Market on the date of grant. The vesting associated with the option is as follows: one fourth (1/4) of the total shares subject to such option shall vest on the one-year anniversary of the date of grant, and one sixteenth (1/16) of the total shares subject to the option shall vest quarterly over three (3) years following the one-year anniversary. |
