Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 28, 2008, Under Armour, Inc. (the “Company”) issued a press release announcing the appointment of Wayne Marino, age 47, as the Company’s Chief Operating Officer, and Brad Dickerson, age 43, as the Company’s Chief Financial Officer succeeding Mr. Marino. The appointments are effective February 29, 2008. A copy of Under Armour’s press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
