On August 14, 2007, VeriSign, Inc. (“VeriSign”) issued a press release announcing that it has priced $1.1 billion of 3.25% junior subordinated convertible debentures due in 2037. A copy of this press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
VeriSign understands that Edward A. Mueller, Chairman of the Board of VeriSign, intends to resign from the Board of Directors of VeriSign in the near future in order to devote his energies to his new position as Chairman of the Board and Chief Executive Officer of Qwest Communications International (“Qwest”). On August 10, 2007, Qwest announced that Mr. Mueller had been named Chairman of the Board and Chief Executive Officer of Qwest.
