Item 8.01 Other Events.

As previously disclosed, during the pendency of the bankruptcy proceedings for eMerge Interactive, Inc. (the “Company”), the Company will adopt a modified reporting program with respect to its reporting obligations under the federal securities laws. In lieu of filing annual reports on Form 10-K and quarterly reports on Form 10-Q, each month the Company will file with the Securities and Exchange Commission a current report on Form 8-K that will have attached to it the monthly financial reports required by the United States Bankruptcy Court for the Southern District of Florida, West Palm Beach division (the “Bankruptcy Court”). A copy of the Company’s financial report for February 2007, as filed with the Bankruptcy Court on March 28, 2007, is attached hereto as Exhibit 99.1 and is incorporated herein by reference. The description of the financial report set forth herein is qualified in its entirety by reference to Exhibit 99.1.
