ITEM 8.01 Other Events.

On February 8, 2007, the Board of Directors (the “Board”) of National Interstate Corporation (the “Company”) approved a dividend of $0.05 per common share, payable on March 16, 2007 to shareholders of record of the Company’s common shares as of the close of business on February 28, 2007.

The Board also announced anticipated dividend dates for the second, third and fourth quarters of 2007 of June 15, 2007, September 14, 2007 and December 14, 2007, respectively. As stated in the Company’s dividend policy in the 2005 Annual Report on Form 10K, the declaration and payment of dividends remains subject to the discretion of the Board, and will depend on, among other things, the Company’s financial condition, results of operations, capital and cash requirements, future prospects, regulatory and contractual restrictions on the payment of dividends by insurance company subsidiaries and other factors deemed relevant by the Board. The Board stated its intention to review the Company’s dividend policy at least annually during its first quarter meeting.
