ITEM 8.01 Other Events.

On November 30, 2006, Advanced Micro Devices, Inc. issued a press release announcing it has received a subpoena from the Department of Justice (“DOJ”) Antitrust Division in connection with the DOJ’s investigation into potential antitrust violations related to graphics processors and cards. A copy of the press release is filed as Exhibit 99.1 hereto, the terms of which are incorporated herein by reference.
