Item 5.02 – Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

Effective November 17, 2006, Senior Vice President Commercial Lending, Delbert L. Phillips, elected to retire at the age of 63, birthdate November 18, 1943. There were no disagreements between the Registrant and Mr. Phillips.

Mr. Phillip’s responsibilities will be assumed by Roger J. Turner, President of MVB-Harrison, Inc., where he currently serves as the Chief Lending Officer.
