Strategic Hotels & Resorts, Inc. (the “Company”) hereby amends its Current Report on Form 8-K filed on September 7, 2006, in order to file the financial statements and pro forma financial information required by Item 9.01 of Form 8-K in connection with the Company’s acquisition of the Marriott London Grosvenor Square hotel, which acquisition closed on August 31, 2006.

Filed as Exhibit 99.1 hereto are the audited financial statements as of December 31, 2005 and 2004, for each of the two years in the period ended December 31, 2005, and the unaudited financial statements as of June 30, 2006 and for the six months ended June 30, 2006 and 2005 for BRE/Grosvenor Shareholder S.A.R.L. and subsidiaries, an affiliate of BRE/Europe 2, S.A.R.L., the owner/seller of the Marriott London Grosvenor Square hotel.
