Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(b) On July 10, 2006, the Board of Directors received notice of Ms. Pamela H. Jarratt’s resignation as a member of the Board of Directors and Chairperson for the Audit Committee. There were no disagreement between Ms. Jarratt and the Registrant. Ms. Jarratt is resigning for family medical reasons.
