Item 8.01 Other Events
On December 20, 2005, Julius F. Bates, Chief Operating Officer of El Paso Electric Company (the Company), adopted a prearranged stock trading plan (the Plan) pursuant to the requirements of Rule 10b5-1 under the Securities Exchange Act of 1934, as amended. Mr. Bates holds options to purchase 100,000 shares of common stock of the Company (the Options) which were granted on June 11, 1996 and which expire on June 10, 2006 unless exercised prior to such date. The Options have an exercise price of $5.56 per share. Under the Plan, Mr. Bates has instructed his brokerage firm to exercise the Options and sell all of the resulting shares at market price pursuant to a predetermined formula.
