Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

 

On November 29, 2005, Parker-Hannifin Corporation (the “Company”) was informed of the death of director Hector R. Ortino, who passed away on November 28, 2005. Mr. Ortino served as director of the Company since January 1997 and will be greatly missed. He served on the Audit Committee and was the Chair of the Finance Committee. The Board of Directors is expected to name the new Chair to the Finance Committee at its next regular meeting.
