Item 2.02. Results of Operation and Financial Condition.

 

On November 1, 2005, Viisage Technology, Inc. issued a press release announcing its results of operations for the three and nine months ended, and financial condition as of, October 2, 2005. A copy of the press release is attached hereto as Exhibit 99.1.

 

Item 8.01. Other Events.

 

In the November 1, 2005 press release described in Item 2.02 above, Viisage provided information regarding the proposed investment in Viisage by L-1 Investment Partners LLC, and the special meeting of stockholders of Viisage to be held for the purpose of approving such investment. A copy of the press release is attached hereto as Exhibit 99.1.
