Item 1. Description of Registrant’s Securities to be Registered.

 

This registration statement relates to the 9.125% Series C Cumulative Redeemable Preferred Stock (the “Series C Preferred Stock”) of Impac Mortgage Holdings, Inc., a Maryland corporation (the “Company”). The information required in response to this Item 1 with respect to the Series C Preferred Stock is set forth under the caption “Description of Series C Preferred Stock” in the Company’s prospectus supplement dated November 18, 2004, to the prospectus, dated January 9, 2004, included as part of the Registration Statement on Form S-3 (File No. 333-111517), filed with the Securities and Exchange Commission on December 23, 2003, and the Registration Statement on Form S-3 (File No. 333-120590) filed pursuant to Rule 462(b) of the Securities Act of 1933, as amended, on November 18, 2004. The prospectus supplement is hereby incorporated by reference into this registration statement on Form 8-A. The Company’s authorized stock consists of 200,000,000 shares of common stock, $0.01 par value per share, and 10,000,000 shares of preferred stock, $0.01 par value per share. The Company’s board of directors has classified 2,500,000 shares of the Company’s preferred stock as Series A Junior Participating Preferred Stock and 7,500,000 shares of the Company’s preferred stock as 9.375% Series B Cumulative Redeemable Preferred Stock (the “Series B Preferred Stock”). After filing the Articles Supplementary for the Series C Preferred Stock, there will be 2,000,000 shares of the Company’s preferred stock classified as Series B Preferred Stock and 5,500,000 shares of the Company’s preferred stock classified as Series C Preferred Stock.
