| (d) | On September 29, 2004, the Board of Directors of H.B. Fuller Company (the “Company”) elected Richard L. Marcantonio as a Class I member of the Board of Directors of the Company with a term of office expiring at the 2006 Annual Meeting of the Company. Mr. Marcantonio is the President and Chief Executive Officer of G&K Services, Inc. Mr. Marcantonio will serve on the Audit Committee of the Board of Directors of the Company. A copy of the press release announcing the election of Mr. Marcantonio to the Board of Directors of the Company is filed as Exhibit 99.1 to, and incorporated by reference in, this report. |
