Explanation of Responses:
Valley's stock split 5 for 4 on May 17, 2002.
In December 2002, a trust of which Mr. Miller was a trustee and beneficiary was
dissolved and 4,305 shares previously held by the trust in which Mr. Miller had
a pecuniary interest were transferred to Mr. Miller and his wife. Such
transaction changed Mr. Miller's form of beneficial ownership in such shares
from Indirect to Direct.
