Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.

On May 3, 2013, the Compensation Committee of the Board of Directors of Syniverse Holdings, Inc. (the “Company”) approved an increase to the annual base salary of Mr. Jeffrey S. Gordon, the Company’s president and chief executive officer, from $500,000 to $600,000, effective as of April 1, 2013.
