Compensatory Arrangements of Certain Officers.
 

(b)  After discussions between NIC Inc. (the "Company") and Aimi Daughtery, Ms. Daughtery informed the Company on March 28, 2016, that she intends to resign from her position as Chief Accounting Officer of the Company to pursue other interests.  Ms. Daughtery will stay with the Company through April 30, 2016, to ensure a smooth and effective transition.  Ms. Daughtery's departure did not involve any disagreement with the Company, the Company’s management or the Company's Board of Directors.

The Company appreciates Ms. Daughtery’s contributions to the Company over the years and wishes her well in the future.

The Company's Chief Financial Officer, Stephen M. Kovzan, will assume responsibility as the Company’s principal accounting officer.
