Item 8.01 Other Events.

On November 23, 2011, Geron Corporation (the “Company”) issued a tribute to Alexander E. Barkas, Ph.D., a director of the Company, who suddenly passed away on November 21, 2011. The statement is attached hereto as Exhibit 99.1.
