Item 7.01          Regulation FD Disclosure

On December 6, 2010, NIC Inc. issued a press release announcing that its Board of Directors declared a special cash dividend of $0.25 per share on December 3, 2010, payable on December 30, 2010, to stockholders of record on December 17, 2010.  The dividend payout will total approximately $16.2 million based on the current number of shares outstanding. A copy of the press release is furnished with this report on Form 8-K as Exhibit 99.1.
