Item 1.01  –   Entry into a Material Definitive Agreement

On June 25, 2009, Vishay Intertechnology, Inc. and International Rectifier entered into a settlement agreement.

On July 1, 2009, Vishay Intertechnology, Inc. issued a press release describing this settlement agreement, which is included as Exhibit 99 to this current report on Form 8-K and is hereby incorporated by reference.
