Item 8.01. Other Events.

     Forward Air  Corporation  issued a press  release,  dated October 26, 2005,
announcing that its Board of Directors  declared the Company's  fourth quarterly
cash dividend of $0.06 per share of common stock. The cash dividend will be paid
on  January  3, 2006 to  shareholders  of record  at the  close of  business  on
December 2, 2005.  The press  release is attached as Exhibit 99.1 to this report
and is incorporated by reference herein.
