The underwriting is subject to customary conditions, including shareholder approval, the absence of material adverse changes or force majeure events and confirmation of current ratings. The ordinary capital increase with pre-emptive rights was initially announced on August 31, 2004. Shareholders will be asked to approve the proposed capital increase at an Extraordinary General Meeting to be held on September 28, 2004. The banks have agreed to underwrite the new shares at a minimum issue price of CHF 10.00 per share, representing a 55% discount to the closing share price of CHF 22.30 on September 2, 2004.
