(1) | Pursuant to that certain Agreement to Exercise Rights Under Stock Agreement, dated July 18, 2013, by and between NTR Metals, LLC, a Texas limited liability company ("NTR"), and the Reporting Person, the Reporting Person and NTR agreed to effectuate an exchange of(i) the Reporting Person's right, title and interest in 147,000 shares of the common stock of the Issuer, par value $0.01 per share (the "Common Stock"), currently held in escrow by Compass Bank, pursuant to that certain Escrow Agreement, dated September 12, 2011, by and among the Issuer, NTR and Compass Bank, filed as Exhibit 10.3 to the Current Report on Form 8-K of the Issuer, as filed on September 16, 2011, which is herein incorporated by reference, for (ii) 325,000 shares of Common Stock of the Issuer held by NTR. |
