ITEM 5.07 Submission of Matters to a Vote of Security Holders.
On May 24, 2012, the registrant held its 2012 Annual Meeting of Shareholders. The following matters were submitted to a vote of the shareholders of record as of March 16, 2012 through the solicitation of proxies:
1. | To elect eight directors to serve for one year and until their successors have been duly elected and qualified; |
2. | To amend the Amended and Restated Charter of Mid-America Apartment Communities, Inc. to increase the number of authorized shares of common stock to 100,000,000; |
3. | To provide an advisory (non-binding) vote on executive compensation; |
4. | To ratify the selection of Ernst & Young LLP as its independent registered public accounting firm for 2012. |
All eight nominees were elected to serve for one year and until their successors have been duly elected and qualified. The results of the election were as follows:
