Results of Operations and Financial Condition.
 
On September 3, 2010, China Sky One Medical, Inc. (the “Company”) issued a press release which updated previously disclosed guidance for fiscal 2010.  A copy of the press release is furnished as Exhibit 99.1 to this report, and is incorporated herein by reference.

Item 5.02.
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 31, 2010, Stanley Hao notified the Company of his resignation as Chief Financial Officer of the Company, effective as of September 1, 2010.  Mr. Hao’s resignation was for personal reasons and was not as a result of any disagreement with the Company on any matter relating to its operations, policies or practices.  Mr. Hao will continue to serve as the Company’s Secretary and a member of its board of directors.  A copy of the press release further discussing this matter is furnished as Exhibit 99.1, and is incorporated herein by reference.
