Item 8.01.  Other Events.

On August 13, 2010, Chemtura Corporation (“Chemtura”) issued a press release announcing the pricing at 99.269 percent of $455 million in unsecured senior notes due 2018 which will bear interest at a rate of 7 7/8% per annum.  A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
