Item 2.02.  Results of Operations and Financial Condition.

On May 7, 2010, Chemtura Corporation issued a press release announcing financial results for the quarter ended March 31, 2010.  A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
