Item 2.03 Creation of as Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

On November 27, 2006, VoIP, Inc. (the “Company”) executed three (3) promissory notes (the “Notes”) in the aggregate principal amount of $366,667. On December 4, 2006 or on demand, the principal amount of the Notes, plus interest on the unpaid principal balance of the Notes, is due. The interest rate on the Notes is twelve percent (12%) per annum and in the event of a default, interest for any past due amounts shall be eighteen percent (18%) per annum. Additionally, the Company issued the Note holders five (5) year warrants to purchase available shares of the Company’s common stock exercisable at $0.475 per share, with the warrants containing a cashless exercise provision. The number of warrants that a Note holder will receive will be determined based upon the amount due under the Note as of the repayment date of the Note.
