Item 2.02     Results of Operations and Financial Condition.

On February 23, 2011, interclick, inc. (the “Company”) issued a press release announcing its financial results for the quarter and year ended December 31, 2010 as well as its 2011 business outlook.  The Company also held a conference call discussing such results and outlook on February 23, 2011 at 4:30 p.m. (EST).  The press release is attached hereto as Exhibit 99.1.
