On page 19 of the Principal Financial Group, Inc.'s proxy statement filed with the Securities and Exchange Commission on April 10, 2013, add the following sentence at the end of the first paragraph under the heading “Board Committees.”

The Board has determined that all members of the Audit Committee are financially literate, and that Ms. Helton is a financial expert and is independent, as independence for audit committee members is defined in the New York Stock Exchange listing standards.
