This Amendment No. 2 to Schedule 14D-9 amends and supplements the Solicitation/Recommendation Statement on Schedule 14D-9 (as amended from time to time, the “Schedule 14D-9”) originally filed by Depomed, Inc., a California corporation (“Depomed” or the “Company”), with the Securities and Exchange Commission (the “SEC”) on September 14, 2015, as last amended by Amendment No. 1, filed with the SEC on September 18, 2015, relating to the unsolicited exchange offer by Horizon Pharma plc, an Irish public limited company (“Horizon”), through its wholly owned subsidiary, Diosail Merger Corporation, a California corporation (“Offeror”), to exchange each outstanding share of common stock, no par value, of Depomed for 0.95 ordinary shares of Horizon, nominal value $0.0001 per ordinary share (the “Horizon Ordinary Shares”), upon the terms and subject to the procedures and other conditions set forth in Horizon’s Preliminary Prospectus/Offer to Exchange dated September 8, 2015 (the “Offer to Exchange”) and the related letter of transmittal (which, together with any amendments or supplements thereto, collectively constitute the “Offer”).  Horizon and Offeror filed a Tender Offer Statement on Schedule TO dated September 8, 2015 (together with exhibits thereto, as amended, the “Schedule TO”) and a registration statement on Form S-4 dated September 8, 2015 (as amended, the “Registration Statement”) with the SEC.

 

Except as specifically noted herein, the information set forth in the Schedule 14D-9 remains unchanged.  Capitalized terms used but not defined in this Amendment No. 2 have the meanings ascribed to them in the Schedule 14D-9.

 

Item 4.         The Solicitation or Recommendation

 

Item 4 is hereby amended and supplemented as set forth below.

 

The first paragraph in the section entitled “Reasons for Recommendation” on page 17 is hereby amended and supplemented to add the following text at the end thereof:

 

“There can be no assurance that the anticipated results will be achieved.  Exclusivity with respect to specific drugs may not necessarily assure sustained or increased revenue growth given the risk associated with competition from generic and non-generic products with similar treatment profiles.”

 

The bullet points on page 25 in the section entitled “Reasons for Recommendation” under the heading “We have observed the recent decline in weekly prescriptions for Duexis, Vimovo and Pennsaid 2%” are hereby amended and supplemented to add the following text at the end thereof:
